Terms and Conditions of Service

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER (SECTION 26), WHICH AFFECT YOUR LEGAL RIGHTS. THEY ALSO LIMIT FRESH CYCLES LLC'S LIABILITY FOR LOST OR DAMAGED ITEMS (SECTION 13), AND, FOR WEEKLY AND TWICE-MONTHLY SUBSCRIPTION PLANS, THEY INCLUDE A FEE OF $10 FOR EACH UNRETURNED LAUNDRY BAG IF YOU CANCEL WITHIN YOUR FIRST THREE MONTHS (SECTION 7).

These Terms and Conditions of Service (the "Terms") are a binding agreement between Fresh Cycles LLC, a Missouri limited liability company ("Fresh Cycles," "we," "us," or "our"), and you, the person or entity using our services or website ("you," "your," or "Customer"). By scheduling a pickup, creating an account, using our website at https://freshcycleskc.com (the "Site"), or otherwise using any service we offer (collectively, the "Services"), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

1. Definitions

"Order" means a single pickup-and-return cycle initiated by a Customer through the Site, app, SMS, phone, or other authorized channel.

"Wash & Fold Service" means our standard residential laundering service in which we pick up your items, launder and fold them according to our standard process, and return them.

"Specialty Items" means comforters, blankets, bedding, rugs, oversized items, and other items priced per piece rather than by weight.

"Commercial Customer" means a business, sole proprietor, or organization (including without limitation gyms, salons, short-term rental hosts, and Airbnb operators) that uses the Services for a commercial purpose. Commercial Customers are subject to the additional terms in Section 15.

"Service Area" means the geographic area within the Kansas City, Missouri metropolitan area where Fresh Cycles offers pickup and delivery, as posted on the Site and updated from time to time.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract under applicable law to use the Services. By using the Services, you represent and warrant that you meet these requirements. If you are using the Services on behalf of a Commercial Customer, you represent that you are authorized to bind that entity to these Terms.

3. Account Registration

You may need to create an account to access certain Services. You agree to provide accurate, current, and complete information and to keep your account information up to date. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. You agree to notify us promptly at hello@freshcycleskc.com of any unauthorized access. We may suspend or terminate accounts that contain inaccurate information or that are used in violation of these Terms.

4. Description of Services

4.1 Wash & Fold. We pick up bagged residential laundry, launder it using our standard wash, dry, and fold process, and return it on the agreed return date. Items are processed by weight in accordance with our then-current pricing.

4.2 Specialty and Bedding Items. Comforters, blankets, oversized items, and other Specialty Items are priced per piece. Specialty Items are washed and dried separately from Wash & Fold Orders to the extent reasonably practicable.

4.3 Commercial Services. We offer pickup, laundering, and delivery for Commercial Customers, subject to the additional terms in Section 15 and to any separately executed master service agreement.

4.4 Service Modifications. We may modify, suspend, or discontinue any portion of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

5. Scheduling, Pickup, and Delivery

5.1 Scheduling. Pickups may be scheduled through the Site, by SMS, or by other channels we make available. Available time windows depend on capacity and the Service Area; we do not guarantee any specific time slot until it is confirmed.

5.2 Pickup Procedures. You agree to leave your bagged laundry in the location you specify (for example, doorstep, porch, or designated drop area) by the start of your scheduled window. If we cannot locate your bag at the scheduled time and we do not receive a response from you within a reasonable period, the pickup may be marked as a missed pickup and a fee may apply (see Section 16).

5.3 Delivery. We will return your laundered items on or about the agreed return date. We may leave deliveries at your designated location without obtaining a signature unless you have specifically requested signature delivery in writing. You are responsible for ensuring your delivery location is reasonably secure and accessible.

5.4 Risk of Loss. Risk of loss for delivered items passes to you upon delivery to your designated location. Risk of loss for items in our possession during processing remains with us, subject to the limitations in Sections 13 and 24.

5.5 Inability to Deliver. If we are unable to complete delivery due to circumstances within your control (for example, an inaccessible location or absent recipient where signature was required), we may return the items to our facility and reasonable redelivery or storage fees may apply.

6. Pricing and Payment

6.1 Pricing. Prices for Wash & Fold Service are charged on a per-bag basis. Specialty Items are charged per piece. Commercial pricing may be set forth in a separate written agreement. Current prices are posted on the Site and may change at any time; the price in effect at the time you place an Order will apply to that Order.

6.2 Minimum Order. We may require a minimum Order weight or value, as posted on the Site.

6.3 Estimates and Final Charges. Any estimate provided before pickup is non-binding. Final charges are calculated after we weigh and process your items and may differ from any estimate. You authorize us to charge your payment method for the final amount.

6.4 Payment. You agree to pay all amounts owed using a valid payment method on file. We may use third-party payment processors and you agree to their terms in addition to ours. If a payment fails, we may suspend the Services and may charge reasonable fees for failed payment attempts to the extent permitted by law.

6.5 Taxes. All fees are exclusive of taxes. You are responsible for any sales, use, or similar taxes assessed on the Services.

6.6 Tips. Tips are appreciated but never required and are not retained by Fresh Cycles when paid through tipping features that designate the recipient.

7. Subscription Plans and Auto-Renewal

IMPORTANT: IF YOU ENROLL IN A SUBSCRIPTION PLAN, YOU AUTHORIZE FRESH CYCLES TO AUTOMATICALLY CHARGE YOUR PAYMENT METHOD ON A RECURRING BASIS UNTIL YOU CANCEL. PLEASE READ THIS SECTION CAREFULLY.

7.1 Enrollment. By enrolling in a subscription plan, you agree to pay the recurring fee disclosed at enrollment (the "Subscription Fee") at the cadence disclosed at enrollment (for example, weekly, bi-weekly, or monthly), in addition to any usage-based charges that exceed the plan allowance.

7.2 Auto-Renewal. Your subscription will automatically renew at the end of each billing period until you cancel. We will charge the Subscription Fee to your payment method on file at the start of each renewal period. If your payment method fails, we may pause or cancel your subscription.

7.3 Price Changes. We may change Subscription Fees from time to time. We will provide at least 30 days' notice by email before any price increase takes effect, and the change will apply only to renewal periods beginning after the notice period.

7.4 No Minimum Commitment. Weekly and twice-monthly (bi-weekly) subscription plans have no minimum subscription term. You may cancel at any time as described in Section 7.6.

7.5 Reusable Bag Return. We provide reusable Fresh Cycles laundry bags for use with your subscription plan. If you cancel a weekly or twice-monthly subscription plan within three (3) months of your first scheduled pickup under the plan, you agree to return the bags we provided to you. A fee of ten U.S. dollars ($10.00) will be charged to your payment method on file for each bag that is not returned (the "Bag Fee"). The Bag Fee reflects the cost of the bags and is not a penalty. The Bag Fee does not apply (a) to bags that are returned, (b) if you cancel more than three (3) months after your first scheduled pickup under the plan, or (c) where prohibited by applicable law.

7.6 Cancellation. You may cancel your subscription at any time through your account settings, by replying STOP to subscription-related SMS messages, or by emailing hello@freshcycleskc.com. Cancellation takes effect at the end of the current billing period; you will not receive a refund for the current period unless required by law. If you cancel within three (3) months of your first scheduled pickup under the plan, Section 7.5 applies.

7.7 Free Trials and Promotional Plans. If we offer a free trial or promotional plan, the trial automatically converts to a paid subscription at the end of the trial period unless you cancel before then.

8. Promotional Codes and Referrals

8.1 Promotional Codes. Promotional codes are issued at our discretion, may not be combined with other offers unless expressly stated, are not redeemable for cash, are valid only for the period and audience specified, and are void where prohibited or restricted by law. We may revoke or modify any promotional code at any time, including for suspected fraud or abuse.

8.2 Referral Program. If we offer a referral program, you may earn credits or other rewards for referring new Customers who complete a qualifying first Order. You may not (a) refer yourself or accounts you control, (b) post your referral link on coupon, deal, or promotional aggregator sites, or (c) use bots, scripts, or automated tools to generate referrals. We may, in our sole discretion, void rewards, suspend program access, or terminate accounts that violate these terms.

8.3 No Cash Value. Credits and rewards have no cash value, are not transferable, and may expire. Tax obligations on rewards, if any, are your responsibility.

9. SMS and Text Message Communications

9.1 Consent. By providing your mobile phone number to Fresh Cycles, you expressly consent to receive automated and non-automated text messages from us related to your Orders, account, scheduling, deliveries, and customer service ("Transactional Messages"). Consent to Transactional Messages is required to use the SMS-based Services.

9.2 Marketing Messages. If you opt in, you may also receive promotional or marketing text messages from us ("Marketing Messages"). Consent to Marketing Messages is not a condition of purchase.

9.3 Frequency, Cost, and Carriers. Message frequency varies. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

9.4 Opt-Out. You can opt out of Marketing Messages at any time by replying STOP to any Marketing Message. After replying STOP, you may continue to receive Transactional Messages necessary to fulfill an active Order. To stop all messages, contact us at hello@freshcycleskc.com; opting out of Transactional Messages may prevent us from providing the Services.

9.5 Help. Reply HELP to any of our messages, or email hello@freshcycleskc.com, for assistance.

9.6 TCPA. You acknowledge that the Services and the SMS program comply with the Telephone Consumer Protection Act and applicable rules. You will not use the Services to send unauthorized communications to others.

10. Customer Responsibilities and Acknowledgments

By using the Services, you acknowledge and agree that:

11. Items We Will Not Accept

The following items are not eligible for the Services. If included, we may, in our sole discretion, return them unwashed, dispose of them, or process them at your sole risk and without liability to us:

12. Care Standards and Service Limitations

12.1 Standard Process. Wash & Fold Orders are laundered using our standard wash, dry, and fold process. We do not provide individualized garment-by-garment inspection, sorting beyond standard practice, hand finishing, or pressing unless those services are separately purchased.

12.2 Color, Shrinkage, and Wear. Normal washing and drying may cause color transfer, fading, shrinkage, pilling, or accelerated wear, particularly on items that are old, delicate, or improperly labeled. We are not responsible for damage caused by inherent vice in the item, defective manufacture, prior wear, or care label inaccuracies.

12.3 Stain Removal. We will attempt to remove ordinary stains using standard products and methods but do not guarantee stain removal. Some stains, including grease, ink, dye, and biological stains, may be permanent or may require specialty treatment that we do not provide.

12.4 No Bailment Beyond Necessary Period. We accept items only for the period reasonably necessary to perform the Services. We do not provide long-term storage.

13. Lost or Damaged Items

13.1 Claims Window. You must inspect your items immediately upon delivery. Any claim for missing, damaged, or incorrectly returned items must be submitted in writing to hello@freshcycleskc.com within seventy-two (72) hours after delivery. Claims submitted after the 72-hour window are waived.

13.2 Required Information. A claim must include your name, Order number or pickup date, the item(s) at issue, a description of the loss or damage, photographs where applicable, and proof of delivery details. We may require you to make the items available for our inspection.

13.3 Investigation. We will investigate timely claims in good faith and will respond within a reasonable period. We may, at our discretion, attempt to locate missing items, repair or rewash damaged items, issue a credit, or pay compensation up to the cap below.

13.4 Maximum Liability for Lost or Damaged Items

REGARDLESS OF THE LEGAL THEORY ASSERTED, FRESH CYCLES' TOTAL LIABILITY FOR LOST, DAMAGED, OR DESTROYED ITEMS IN ANY ORDER WILL NOT EXCEED TEN (10) TIMES THE FEE PAID BY THE CUSTOMER FOR THE LAUNDERING OF THAT ORDER, OR THE ACTUAL DEPRECIATED VALUE OF THE AFFECTED ITEMS, WHICHEVER IS LESS. THIS CAP IS A MATERIAL CONDITION OF THE PRICING OF THE SERVICES.

13.5 Items Not Covered. Our liability does not extend to (a) items left in pockets or bags in violation of Section 10; (b) damage caused by undisclosed pre-existing conditions, defective manufacture, or inaccurate care labels; (c) ordinary wear, normal shrinkage, color transfer between items provided together, or fading; (d) items we do not accept under Section 11; or (e) consequential, incidental, special, or indirect damages of any kind.

13.6 No Insurance. Fresh Cycles is not an insurer, common carrier, or warehouseman and does not insure your items. If you require insurance for high-value items, please obtain coverage independently and do not include those items in your Order.

14. Unclaimed Items

If we are unable to deliver completed items because you fail to make yourself or your delivery location reasonably available, and you do not respond to our communications within thirty (30) days after the first delivery attempt, the items will be deemed abandoned. We may, after the 30-day period, donate, dispose of, or otherwise transfer the items, in addition to charging any unpaid Service fees and reasonable storage costs, all to the maximum extent permitted by law.

15. Commercial and B2B Account Terms

In addition to all other provisions of these Terms, the following apply to Commercial Customers:

15.1 Authorized Use. Commercial Customers may only use the Services for the laundering of items reasonably related to their business. The Services are not intended for industrial uniform programs involving heavy soiling, oils, or chemical contamination, unless separately agreed in writing.

15.2 Net Payment Terms. Commercial Customers with approved invoicing arrangements agree to pay invoices net 15 days from invoice date unless otherwise agreed in writing. Past-due amounts accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

15.3 Volume and Service Levels. Volume commitments and service levels apply only if specifically agreed in a written master service agreement. Otherwise, all Services are provided on an as-available basis.

15.4 No Consumer Rights. Commercial Customers acknowledge that they are not consumers within the meaning of consumer protection laws and waive, to the extent permitted by law, any rights or remedies that would apply only to consumer transactions.

15.5 Indemnification by Commercial Customer. Commercial Customers will indemnify and hold harmless Fresh Cycles from claims by their guests, customers, employees, or invitees relating to laundered items, including without limitation claims based on alleged contamination, injury, or property damage to the extent caused by the Commercial Customer's items, instructions, or end users.

16. Cancellations, Missed Pickups, and Rescheduling

16.1 Customer Cancellations. You may cancel or reschedule a pickup at no charge if you do so at least four (4) hours before the start of your scheduled pickup window. Cancellations or reschedules made less than four (4) hours before the window may be subject to a missed-pickup fee posted on the Site.

16.2 Missed Pickups. If we arrive at the scheduled pickup location during your window and are unable to locate your bag, and you do not respond to our outreach within a reasonable time, the pickup is considered missed and a fee may apply.

16.3 Cancellations by Fresh Cycles. We may cancel or reschedule pickups due to weather, capacity, safety, or other operational reasons, and we will not be liable for any resulting inconvenience or cost beyond a refund of any prepaid fees for the cancelled pickup.

17. Refunds

Except as expressly stated in these Terms or required by applicable law, all fees are non-refundable. Where we determine in our discretion that a refund or credit is warranted, we may issue it as account credit or to the original payment method.

You agree not to:

We may suspend or terminate your access to the Services for any violation of this Section, with or without notice.

19. Intellectual Property

The Site and the Services, including all content, designs, graphics, text, logos, trademarks, and software, are owned by Fresh Cycles or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely to use the Services as permitted by these Terms. All other rights are reserved.

20. User Content

If you submit reviews, photos, suggestions, or other content to Fresh Cycles ("User Content"), you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, publish, and display the User Content in connection with the Services and our marketing. You represent that you own the User Content or have all necessary rights to grant this license, and that the User Content does not violate the rights of any third party or any law.

21. Privacy

Our collection and use of personal information is governed by our Privacy Policy, available at https://freshcycleskc.com/privacy. By using the Services, you consent to the data practices described in the Privacy Policy.

22. Third-Party Services

The Services may use third-party providers (for example, payment processors, SMS gateways, mapping services, and dry-cleaning partners). Their services are subject to their own terms and privacy policies. We are not responsible for third-party services or content and disclaim liability arising from them.

23. Disclaimers of Warranties

THE SERVICES AND THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRESH CYCLES DISCLAIMS ALL WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY ITEMS WILL BE FREE OF DEFECTS AFTER LAUNDERING.

24. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRESH CYCLES, ITS OWNERS, MEMBERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST GOODWILL, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

EXCEPT AS PROVIDED IN SECTION 13.4 (LOST OR DAMAGED ITEMS CAP), FRESH CYCLES' TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO FRESH CYCLES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you to that extent.

25. Indemnification

You agree to defend, indemnify, and hold harmless Fresh Cycles and its owners, members, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your violation of any law or third-party right; (c) any items you provide to us, including items you fail to remove from pockets, items prohibited under Section 11, or items that cause contamination, damage, or injury; and (d) your User Content.

26. Mandatory Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH FRESH CYCLES ON AN INDIVIDUAL BASIS AND LIMITS THE WAYS YOU CAN SEEK RELIEF FROM US.

26.1 Agreement to Arbitrate. You and Fresh Cycles agree that any dispute, claim, or controversy arising out of or relating to the Services or these Terms (a "Dispute") will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, except that either party may bring an individual claim in small-claims court for any matter that qualifies.

26.2 Federal Arbitration Act. This Section is governed by the Federal Arbitration Act.

26.3 Procedure. The arbitration will be conducted in the county of your residence, or by telephone or written submission, at your election. The arbitrator will have authority to grant any remedy that would be available in court under applicable law, but only on an individual basis. Judgment on the award may be entered in any court of competent jurisdiction.

26.4 Class Action Waiver. YOU AND FRESH CYCLES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding.

26.5 30-Day Right to Opt Out. You may opt out of this arbitration agreement by emailing hello@freshcycleskc.com with the subject line "Arbitration Opt-Out" and including your full name and account email, within thirty (30) days after first becoming subject to these Terms. Opting out will not affect any other provision of these Terms.

26.6 Severability of Class Waiver. If the class action waiver in Section 26.4 is found unenforceable, then the entire arbitration agreement in this Section 26 will be null and void as to the affected claim, but the remainder of these Terms will remain in effect.

26.7 Survival. This Section survives termination of these Terms or your account.

27. Governing Law and Venue

These Terms and any Dispute are governed by the laws of the State of Missouri, without regard to its conflict-of-laws principles. Subject to Section 26 (Arbitration), the state and federal courts located in Jackson County, Missouri have exclusive jurisdiction over any Dispute not subject to arbitration, and you and Fresh Cycles consent to the personal jurisdiction of those courts and waive any objection to venue there.

28. Modifications to the Terms

We may modify these Terms at any time by posting an updated version on the Site and updating the "Last Updated" date. For material changes, we will provide reasonable notice (for example, by email or in-app notice) before the changes take effect. Your continued use of the Services after the effective date of the updated Terms constitutes acceptance. If you do not agree to the updated Terms, your sole remedy is to stop using the Services and cancel any subscription.

29. Termination

You may stop using the Services at any time. We may suspend or terminate your access to all or part of the Services at any time, with or without cause and with or without notice, including for any violation of these Terms or for non-payment. Upon termination, all sections of these Terms that by their nature should survive (including Sections 13, 19, 20, 23, 24, 25, 26, 27, and 30) will survive.

30. Notices

Notices to Fresh Cycles must be sent by email to hello@freshcycleskc.com with copies as we may designate from time to time. Notices to you may be sent to the email or phone number associated with your account or, if no account exists, to the contact information you provided when scheduling an Order. Email notices are deemed received on the date sent if no bounce-back is received.

31. Miscellaneous

31.1 Entire Agreement. These Terms, together with the Privacy Policy and any separately executed agreement (for Commercial Customers), constitute the entire agreement between you and Fresh Cycles regarding the Services and supersede all prior or contemporaneous agreements on that subject.

31.2 Severability. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and the unenforceable provision will be modified only to the extent necessary to make it enforceable.

31.3 No Waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.

31.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, or sale of assets.

31.5 Force Majeure. We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, fire, flood, severe weather, pandemic, civil unrest, labor disputes, supplier failures, utility outages, equipment failures, or government action.

31.6 Independent Contractor Relationship. Nothing in these Terms creates a partnership, joint venture, agency, employment, or fiduciary relationship between you and Fresh Cycles.

31.7 Headings. Section headings are for convenience only and do not affect interpretation.

31.8 Electronic Communications and Signatures. You consent to receive communications from us electronically and agree that any agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Electronic acceptance of these Terms (including by clicking, scheduling an Order, or continuing to use the Services after notice of changes) has the same effect as a handwritten signature.
